GRANT OF RIGHTS & USAGE:
*Upon receipt of full payment, Maryam’s Mark and Company grants to the Client the following rights in the Illustration Work: For use as a Children Book for publication and resale in the English language; if other languages translations are needed, Client will specify language 10-14 days prior to start to discuss possible additional pricing, per layout. For the illustrations created by MM&Co for the Publication named: “R.C. The Gecko who Wanted to Play the Piano” used In the territory of the United States of America, and globally, for online and in person book sales. With respect to the usage shown above, the Client shall share royalties with the agreed amount of 10% per sale. If Client wishes to make any additional usage including but not limited to merchandising ie: toys, apparel, furniture, and expand exclusion rights of the “R.C. The Gecko who Wanted to Play the Piano Illustrations/Designs and Imagery,” Client agrees to seek permission from MM&Co and make such additional payments and extend royalties as are agreed to between the parties at that time. All rights not expressly granted hereunder are reserved to Maryam’s Mark and Co, LLC/ Maryam and Isa Muhammad, including but not limited to all rights in sketches, drafts, idea comps, or other preliminary materials created by MM&Co. All parties are subjected to follow agreement and terms, including sub-contractors. All changes, alterations can be submitted in writing, email/text.

ACCEPTANCE / TERMINATION:
Upon delivery to the Client of completed Deliverables, the Client shall examine such Deliverables within three Business Days (unless dates/schedule are otherwise specified as listed in proposal/invoice) and notify the Agency in writing of “acceptance” or “rejections” and of any “Edit submissions/revisions.” All sales are final with no refunds on completed artwork. If the Client terminates the Agreement prior to step 1 (delivery of roughs/drafts/demos) or rejects the Deliverables please read #12.7 1-4 for payable percentages – 12.10 of Terms & Conditions.

Remaining Balance Payment: Client agrees to pay Maryam’s Mark & Co within ____ days of the date of billing via electronic transfer via MaryamsMark.com – custom billing link submission.
Final Payment submission due up to 15 days after Final Design has been submitted to Client via FTP.
*NOTE: Electronic transfer payment preferred using MaryamsMark.com online portal; if other payment method has been agreed upon – alternate payment method will be noted in future invoices. Overdue payments shall be subject to interest charges of an additional 15% monthly not to extend past 6 months. Upon first day of 7th months of nonpayment, MM&Co will discuss arbitration and/or begin mall claims legal processing-additional legal fees will be added.

REVISIONS/EDITS: The Client will receive 3 edits/revision trials: one trial per draft submission.
*NOTE: Additional revisions beyond scope of agreed 3 incurred extra fees of $75 per revision.
DISCLAIMER: Maryam’s Mark & Company shall make every effort to ensure the final product is free of any grammatical and spelling errors before giving the final product to the client. It is agreed it is the Client’s responsibility to ensure that there are no spelling or grammatical errors contained in the final product. It is agreed that Maryam’s Mark & Company is not responsible or will not be held liable for any errors contained in the final printed product after the final product has been committed to a physical printed product or posted in view of the public. The Client agrees to indemnify and hold harmless Maryam’s Mark & Co, LLC against any and all claims, cost, and expenses, including attorney’s fees, due to materials included in the “designs” at the request of the Client for which no copyright permission or privacy release was requested or uses which exceed the uses allowed pursuant to the permission or release.
